Purpose and status 文件目的与状态
These Terms govern the EasyGo China App, including self guided tours, digital content, AI enabled features and bookings for third party Activities. They preserve the existing digital travel guide model while adding a clear marketplace relationship for Activities.
本条款适用于 EasyGo China App，包括自助游、数字内容、AI 功能及第三方活动预订。本条款在保留现有数字旅行指南业务的基础上，明确新增活动市场的法律关系。
1 About us and acceptance 平台主体与接受条款
The EasyGo China App, Self guided Tours and Digital Products are operated and sold by EasyGo China Limited, company number 77365380, of RM 7B, ONE CAPITAL PLACE, 18 LUARD RD, WAN CHAI, HONG KONG, trading as EasyGo China (Hong Kong Operator). Mainland China Supplier onboarding, Merchant Portal operations and Activity payment and split settlement arrangements are conducted by 北京铆钉时代文化科技有限公司, unified social credit code 91110108MACCL9WK6L, of 北京市海淀区上地三街9号A座8层A910-83, also trading under the EasyGo China brand (Mainland Operator). References to EasyGo, we or the Platform mean the relevant entity for the service described. By creating an account, purchasing a Digital Product, making a Booking or otherwise using the Platform, you agree to these Terms and the documents expressly incorporated into them.
EasyGo China App、自助游及数字产品由 EasyGo China Limited（公司编号 77365380，地址 RM 7B, ONE CAPITAL PLACE, 18 LUARD RD, WAN CHAI, HONG KONG，品牌名称 EasyGo China，简称“香港运营方”）运营和销售。中国内地供应商入驻、商家门户运营及活动付款和直接分账安排由 北京铆钉时代文化科技有限公司（统一社会信用代码 91110108MACCL9WK6L，地址 北京市海淀区上地三街9号A座8层A910-83，同样使用 EasyGo China 品牌，简称“内地运营方”）负责。“EasyGo”“我们”或“平台”根据上下文指提供相关服务的对应主体。您注册账户、购买数字产品、提交预订或以其他方式使用平台，即表示同意本条款及其中明确纳入的文件。
You must be at least 18 years old and legally capable of entering into a contract. If you book for another Participant, you must have authority to provide their information and accept booking conditions on their behalf.
您须年满 18 周岁并具有订立合同的法律能力。若您为其他参与人预订，您须有权提供其信息并代表其接受预订条件。
2 Key definitions 关键定义
Activity means a tour, cultural or food experience, outdoor activity, transport service, ticket, performance or other in person service offered by a Supplier. Supplier means the identified Mainland China company or other lawful business entity that offers and performs an Activity. Booking means a confirmed order for an Activity. Participant means any person who attends an Activity under a Booking.
“活动”指由供应商提供的游览、文化或餐饮体验、户外活动、交通服务、票务、演出或其他线下服务。“供应商”指在页面中明确展示并实际提供活动的中国内地公司或其他合法经营主体。“预订”指已确认的活动订单。“参与人”指根据预订参加活动的任何人员。
Digital Product means EasyGo created or licensed self guided tours, routes, written or audio content, translation tools and AI enabled features. Merchant Portal means the EasyGo China Merchant Center or Merchant Portal made available through EasyGo Guide H5 or another channel designated by EasyGo. Designated Activity Payment Provider means the licensed payment provider identified at Checkout that processes an Activity payment and direct split settlement.
“数字产品”指由 EasyGo 制作或取得许可的自助游、路线、文字或音频内容、翻译工具及 AI 功能。“商家门户”指通过 EasyGo Guide H5 或 EasyGo 指定的其他入口提供的 EasyGo China Merchant Center 或 Merchant Portal。“指定活动支付服务商”指在结账页展示、负责处理活动付款及直接分账结算的持牌支付服务商。
3 Platform role for Activities 活动市场的平台角色
EasyGo provides a marketplace, booking interface, payment assistance, customer support and related technology. The Supplier, not EasyGo, offers and performs the Activity. When a Booking is confirmed, the contract for the Activity is formed directly between you and the Supplier identified on the Activity Detail page and Booking Confirmation.
EasyGo 提供市场展示、预订界面、付款协助、客户支持及相关技术服务。活动由供应商而非 EasyGo 提供和履行。预订确认后，您与活动详情页及预订确认中明确展示的供应商直接成立活动服务合同。
For Activities, the Mainland Operator arranges payment processing through the Designated Activity Payment Provider. At the time of payment, that provider may directly split the transaction amount between the eligible Supplier or actual service provider and the Mainland Operator in accordance with the applicable settlement rules. Payment through the designated Checkout method satisfies your payment obligation for the amount successfully processed. Neither EasyGo entity becomes the Activity organiser, carrier, venue operator, guide, restaurant, ticket issuer or employer of Supplier personnel merely because it facilitates the Booking, payment or split settlement.
对于活动，内地运营方通过指定活动支付服务商安排付款处理。消费者付款时，该支付服务商可依据适用结算规则，将交易款项直接分账至符合条件的供应商或实际服务方以及内地运营方。您通过指定结账方式成功付款后，就已处理金额而言视为履行付款义务。任何 EasyGo 主体仅因协助预订、付款或直接分账，不因此成为活动组织者、承运人、场地经营者、导游、餐饮经营者、出票方或供应商人员的雇主。
Nothing in these Terms excludes or limits any duty or liability that applicable law imposes on EasyGo as a platform operator, payment facilitator or contracting party for EasyGo's own services.
本条款不排除或限制适用法律对 EasyGo 作为平台经营者、付款协助方或 EasyGo 自有服务合同方所规定的任何不可排除义务或责任。
4 Activity information and Supplier identity 活动信息与供应商身份
Each Activity Detail page should identify the Supplier and state the key itinerary, location, language, duration, inclusions, exclusions, eligibility restrictions, accessibility information, price and cancellation terms. Checkout identifies the applicable payment route, the Mainland Operator as the Activity payment arrangement entity and the Designated Activity Payment Provider where required. Supplier content is provided or approved by the Supplier. EasyGo may review, format, translate or remove content but does not guarantee that every Supplier statement is error free.
每个活动详情页应展示供应商身份，并说明主要行程、地点、语言、时长、包含与不包含项目、参加限制、无障碍信息、价格及取消条件。结账页应在需要时展示适用付款路径、作为活动付款安排方的内地运营方及指定活动支付服务商。供应商内容由供应商提供或确认。EasyGo 可审核、排版、翻译或删除内容，但不保证每项供应商陈述均无错误。
You must review the Activity Detail page, the Cancellation and Refund Policy and any clearly disclosed Supplier conditions before booking. Conditions that materially restrict a consumer right apply only if they are lawful and prominently disclosed before payment.
预订前，您须查看活动详情页、《取消与退款政策》及清晰披露的供应商条件。对消费者权利作出重大限制的条件，仅在合法且付款前显著披露时适用。
5 Bookings and confirmation 预订与确认
Submitting an order is an offer to book. A Booking is accepted only when a Booking Confirmation is issued. Inventory, schedules and prices may change before confirmation. If an obvious pricing or availability error occurs, EasyGo or the Supplier may reject or cancel the affected Booking and refund the amount paid.
提交订单构成预订要约。仅在发出预订确认后，预订方告成立。确认前库存、班次及价格可能变化。如发生明显价格或库存错误，EasyGo 或供应商可拒绝或取消受影响的预订，并退还已付款项。
You must provide accurate contact and Participant information, check the Booking Confirmation promptly and report errors without delay. Admission may be refused where required information or documents are missing, inaccurate or inconsistent with the Booking.
您须提供准确的联系人及参与人信息，及时核对预订确认，并立即报告错误。如必要信息或证件缺失、不准确或与预订不一致，供应商可依法拒绝参加。
6 Prices payment and taxes 价格付款与税费
The total price and currency are shown before payment. Unless stated otherwise, the price includes charges collected through the Platform but excludes personal expenses and optional items identified on the Activity Detail page. Your bank or payment provider may impose exchange or other charges.
付款前将显示总价及币种。除非另有说明，价格包括平台结账中收取的费用，但不包括活动详情页列明的个人支出及自选项目。您的银行或支付服务商可能收取换汇或其他费用。
Self guided Tours and other Digital Products are sold by EasyGo China Limited and are normally paid through Stripe or another provider shown at Checkout. Activities are paid through the Designated Activity Payment Provider under the payment and direct split settlement arrangements of 北京铆钉时代文化科技有限公司; Activities do not use the Stripe route. The provider name, currency, total amount and legally required payee information are displayed before payment. EasyGo does not intentionally store full payment card numbers where tokenised processing is used. You authorise the applicable provider to process charges, direct split settlement, refunds, chargebacks and lawful reversals connected with the transaction.
自助游及其他数字产品由 EasyGo China Limited 销售，通常通过 Stripe 或结账页展示的其他服务商付款。活动通过 北京铆钉时代文化科技有限公司 安排的指定活动支付服务商付款并直接分账；活动不使用 Stripe 支付路径。付款前将展示支付服务商名称、币种、总金额及依法需要展示的收款信息。在使用令牌化处理时，EasyGo 不会主动存储完整银行卡号。您授权相关支付服务商处理与交易有关的扣款、直接分账、退款、拒付及合法冲正。
7 Cancellations refunds and changes 取消退款与变更
The EasyGo China Cancellation and Refund Policy forms part of these Terms. The Activity specific cancellation rule shown before payment applies, subject to mandatory law. Supplier cancellations, material changes, force majeure, late arrival and no show outcomes are handled under that Policy. Approved refunds are sent through the original payment route; internal split settlement does not reduce a mandatory consumer refund.
《EasyGo China 取消与退款政策》构成本条款的一部分。在不违反强制性法律的前提下，付款前展示的活动特定取消规则适用。供应商取消、重大变更、不可抗力、迟到及未到场情形均按该政策处理。批准的退款通过原付款路径处理；内部分账结算不减少消费者依法应得的退款。
8 Participant obligations and safety 参与人义务与安全
You and all Participants must follow lawful safety instructions, meet disclosed age, health, licence and fitness requirements, arrive on time, behave respectfully and avoid conduct that endangers anyone or disrupts the Activity. The Supplier may refuse or remove a Participant for a proportionate safety or legal reason. A refund is not required where refusal results from the Participant's breach, except where mandatory law provides otherwise.
您及所有参与人须遵守合法安全指示，满足已披露的年龄、健康、证照及体能要求，按时到达，文明参与，并避免危及他人或扰乱活动的行为。供应商可基于适当的安全或法律理由拒绝或终止某参与人的参加。若拒绝参加是由参与人违约造成，除强制性法律另有规定外，无须退款。
You are responsible for deciding whether an Activity is suitable for you. Disclose relevant allergies, accessibility needs or medical conditions where reasonably required for safe performance. In an emergency, contact local emergency services and the Supplier first, then notify EasyGo.
您应自行判断活动是否适合。为安全履约而合理需要时，您应披露相关过敏、无障碍需求或健康状况。发生紧急情况时，请先联系当地应急服务及供应商，再通知 EasyGo。
9 Digital Products and AI features 数字产品与 AI 功能
EasyGo grants you a limited, personal, non transferable licence to use purchased Digital Products for private travel planning and use. You may not resell, publish, scrape, systematically copy or commercially exploit them.
EasyGo 授予您有限、个人、不可转让的许可，仅可将已购买的数字产品用于私人旅行规划及使用。您不得转售、公开发布、抓取、系统性复制或商业利用。
Routes, cultural information, translations, maps and AI outputs may be incomplete, approximate or outdated. They are informational tools and do not replace official notices, professional advice, tickets, visas, emergency guidance or your own judgment. Verify time sensitive information with the relevant venue, authority or Supplier.
路线、文化信息、翻译、地图及 AI 输出可能不完整、近似或已过时。其仅为信息工具，不能替代官方通知、专业建议、门票、签证、应急指引或您自己的判断。对时效性信息，应向相关场馆、主管机关或供应商核实。
10 Accounts and acceptable use 账户与可接受使用
Keep login credentials confidential and notify EasyGo promptly of suspected unauthorised use. Do not misuse the Platform, interfere with security, introduce malware, impersonate others, make fraudulent bookings, scrape data or use content in violation of law or third party rights.
请妥善保管登录凭证，并在怀疑账户被擅自使用时及时通知 EasyGo。不得滥用平台、干扰安全、植入恶意程序、冒充他人、进行欺诈预订、抓取数据，或以违反法律或第三方权利的方式使用内容。
11 Reviews and user content 评价与用户内容
Content you submit must be truthful, relevant and lawful. You retain ownership, but grant EasyGo a worldwide, non exclusive, royalty free licence to host, reproduce, translate, moderate and display it for operating and promoting the Platform. EasyGo may remove unlawful, misleading, unsafe or irrelevant content.
您提交的内容须真实、相关且合法。您保留所有权，但授予 EasyGo 全球范围、非独占、免许可费的许可，以便为运营及推广平台而托管、复制、翻译、审核和展示相关内容。EasyGo 可删除违法、误导、不安全或无关内容。
12 Intellectual property 知识产权
The Platform, EasyGo content, software, designs, databases and trademarks are owned by or licensed to EasyGo. Except for the limited user licence expressly granted, no right is transferred to you. Supplier names and content remain subject to the Supplier's or its licensors' rights.
平台、EasyGo 内容、软件、设计、数据库及商标由 EasyGo 所有或获许可使用。除明确授予的有限用户许可外，不向您转让任何权利。供应商名称及内容仍受供应商或其许可方权利约束。
13 Privacy 隐私
The EasyGo China Privacy Policy explains how the Hong Kong Operator and Mainland Operator handle personal data for their respective services. To perform an Activity Booking and payment, necessary order, Participant and transaction data may be shared with the Mainland Operator, the identified Supplier, the Designated Activity Payment Provider and relevant service providers. The Supplier may separately act as a data controller or personal information processor for lawful performance and safety obligations.
《EasyGo China 隐私政策》说明香港运营方和内地运营方如何为各自服务处理个人数据。为履行活动预订及付款，必要的订单、参与人及交易数据可能提供给内地运营方、已识别的供应商、指定活动支付服务商及相关服务商。供应商为合法履约及安全义务，可能作为独立的数据控制者或个人信息处理者处理相关数据。
14 Service availability and changes 服务可用性与变更
EasyGo may maintain, modify or discontinue Platform functions. We will use reasonable care to avoid unnecessary disruption and will not use a Platform change to remove rights already attached to a confirmed Booking. Force majeure and technical incidents are handled in accordance with applicable law and the relevant booking terms.
EasyGo 可维护、修改或停止平台功能。我们将采取合理谨慎措施避免不必要中断，且不会通过平台变更取消已确认预订所附权利。不可抗力及技术事件将依适用法律及相关预订条件处理。
15 Liability 责任
The Supplier is responsible for performing the Activity with reasonable care, in accordance with the Booking and applicable law. EasyGo is responsible for its own Platform services and for duties that law places on it. To the maximum extent permitted by law, EasyGo is not liable for a Supplier's independent acts or omissions, or for indirect or consequential loss that was not reasonably foreseeable when the contract was formed.
供应商负责按照预订、适用法律及合理谨慎标准实际履行活动。EasyGo 对其自有平台服务及法律规定由其承担的义务负责。在法律允许的最大范围内，EasyGo 不对供应商的独立行为或不作为负责，也不对合同订立时无法合理预见的间接或后果性损失负责。
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence where it cannot lawfully be limited, or any other mandatory consumer right or non excludable statutory liability.
本条款不排除或限制欺诈、故意不当行为、因过失造成且依法不得限制的死亡或人身伤害责任，也不排除或限制任何强制性消费者权利或其他不可排除的法定责任。
16 Suspension and termination 暂停与终止
EasyGo may proportionately restrict or suspend an account to prevent fraud, protect safety, comply with law or address a material breach. Where practicable, we will give notice and an opportunity to respond. Account termination does not cancel valid rights and obligations relating to completed or confirmed transactions.
为防止欺诈、保护安全、遵守法律或处理重大违约，EasyGo 可按比例限制或暂停账户。在可行情况下，我们将给予通知及回应机会。账户终止不影响已完成或已确认交易的有效权利义务。
17 Changes to these Terms 条款变更
EasyGo may update these Terms for legal, security or operational reasons. Material changes will be notified by a reasonable prominent method and apply prospectively from the stated effective date. A change will not retroactively reduce rights under a confirmed Booking unless law requires it or you expressly agree.
EasyGo 可因法律、安全或运营原因更新本条款。重大变更将以合理显著方式通知，并自标明的生效日起向后适用。除法律要求或您明确同意外，变更不会追溯减少已确认预订项下的权利。
18 Governing law and disputes 适用法律与争议
These Terms are governed by the laws of Hong Kong, without depriving you of mandatory protections that apply in your country or region of habitual residence. The courts of Hong Kong have non exclusive jurisdiction, unless mandatory law permits or requires proceedings elsewhere.
本条款受香港法律管辖，但不剥夺您惯常居住国家或地区适用的强制性保护。除强制性法律允许或要求在其他地点处理外，香港法院享有非专属管辖权。
The separate Activity service contract with the Supplier and payment or settlement services performed in Mainland China may also be subject to mandatory Mainland China law and the terms of the Designated Activity Payment Provider. No choice of law excludes a mandatory consumer right or non excludable statutory liability.
消费者与供应商之间独立的活动服务合同，以及在中国内地开展的付款或结算服务，也可能受中国内地强制性法律及指定活动支付服务商规则约束。任何法律选择均不排除强制性消费者权利或不可排除的法定责任。
Contact customer support first so that a complaint can be investigated. Nothing in this section prevents either party from seeking urgent relief or using a mandatory consumer dispute mechanism.
请先联系客户支持，以便调查投诉。本条不妨碍任何一方申请紧急救济或使用强制性消费者争议解决机制。
19 General terms and contact 一般条款与联系
If a provision is invalid, the remaining provisions continue to apply. A failure to enforce a term is not a waiver. You may not assign your account or Booking without consent; EasyGo may assign these Terms as part of a reorganisation or transfer of business if your rights are not materially reduced.
如某条款无效，其余条款继续适用。未执行某条款不构成权利放弃。未经同意，您不得转让账户或预订；如不实质减少您的权利，EasyGo 可在重组或业务转让中转让本条款。

These Terms are prepared in English and Chinese. The English version prevails for interpretation, except where applicable law requires the local language version to prevail.
